As part of our partnership, UG has laid out the expectations of both parties in this manual. The management of shipments to customers requires merchandise to arrive using agreed-upon policies. When exceptions occur outside these policies, additional handling and time are required, which slows our internal operation and delays the availability of merchandise to our customers. As stated in these agreements, chargebacks will be applied to invoices impacted by non-compliant shipments. Notification will be made prior to any invoice deduction.
Please note: If exceptions have been approved ahead of time by UG, chargebacks will not be assessed.

One of the objectives of this manual is to assist our vendor partners in preventing exceptions. Our Drop Ship, Purchasing, Merchandising, and Inbound teams are available to answer questions and will be alerting partners in advance if issues of non-compliance are impacting deliveries.

Representation and Indemnifications
UG expects all vendors to confirm the following for all orders sent:
Vendor represents that the ordered products will conform to the specifications, and any samples furnished to us, are merchantable and meet all existing product safety and labeling standards established by any federal or state statute or agency including California’s Safe Drinking Water and Toxic Enforcement Act of 1986, often referred to as “CA Proposition 65,” the federal Consumer Products Safety Act. Vendor confirms that all products do not contain above the accepted levels of lead, cadmium, mercury and all other elements listed. Vendor represents that the products and trademarks and other names used with the products, do not violate the trademark, copyright, patent rights or other intellectual property rights of others. Vendor will hold harmless and indemnify UncommonGoods, LLC, its officers, directors, employees, owners and any other business entities under common ownership or control with UncommonGoods, L.L.C. (Collectively “UncommonGoods, L.L.C.) for all claims, suits, damages, litigation, court costs, civil penalties, criminal penalties, judgments, fines, sums paid in settlement, or expenses related to any legal action concerning the products, including any claims or legal actions for violations or infringement of any patents, trademarks, copyrights and other intellectual property rights as well as any product liability claims. Such indemnification shall include any attorneys’ fees and expenses of UncommonGoods in connection with the defense of any such claims or legal action.
